Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Clinitraq.ai website (clinitraq.ai), our marketing materials, and any free trials, demos, or sandbox environments we may provide ("Site Services"). Paid use of the Clinitraq.ai software platform is governed by a separate Master Services Agreement ("MSA") executed between Clinitraq, Inc. and your practice or organization. To the extent the MSA conflicts with these Terms, the MSA controls for that customer.

By accessing or using the Site Services, you agree to be bound by these Terms. If you do not agree, do not use the Site Services.

1. Who We Are

Clinitraq, Inc. ("Clinitraq," "we," "us," "our") is a Delaware corporation that operates the Clinitraq.ai platform — an AI-driven operating system for medical and dental practices. Our vendor partners include Synergetics.ai, Astra, GoHighLevel, and NexHealth, each of which provides one or more components of the integrated Service stack.

2. Eligibility

You must be at least 18 years old and legally able to form a binding contract to use the Site Services. If you are using the Site Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Demo Requests and Sales Inquiries

When you submit a demo request or sales inquiry, you authorize Clinitraq to contact you about your inquiry by email and/or phone. We will use the information you provide consistent with our Privacy Policy. Submitting a demo request does not create a contract for paid Services.

4. Pricing Information

Pricing displayed on the Site Services (including the Pricing page) is informational and may be updated at any time. Final pricing for paid Services is governed by an executed Order Form and the MSA. Setup fees, retainer fees, and any custom pricing for multi-site or enterprise engagements are documented in the Order Form.

All content on the Site Services — including text, graphics, logos, software, and trademarks — is owned by Clinitraq or our licensors and is protected by copyright, trademark, patent, and other intellectual property laws. The "Clinitraq" name and logo, the wordmark "Clinitraq.ai," and any associated stylings are trademarks of Clinitraq, Inc. The "AgentTalk" trademark and underlying agent-communication patent are licensed to Clinitraq through our partnership with Synergetics.ai. Vendor partner marks (Astra, GoHighLevel, NexHealth, etc.) are the property of their respective owners.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site Services for your personal or business evaluation purposes only. No other rights are granted.

7. Feedback

If you provide us feedback, suggestions, or ideas about the Site Services, you grant Clinitraq a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

8. Third-Party Links and Services

The Site Services may link to or describe third-party websites and services, including those of our vendor partners. Clinitraq does not control and is not responsible for the content, terms, or practices of those third parties. Your use of any third-party service is subject to that third party's terms and policies.

9. Disclaimers

THE SITE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLINITRAQ DOES NOT WARRANT THAT THE SITE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING ON THE SITE SERVICES CONSTITUTES MEDICAL, LEGAL, OR PROFESSIONAL ADVICE. Statistics, ROI figures, and case study numbers shown on marketing pages are illustrative and not guarantees of outcomes for any individual practice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINITRAQ AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SERVICES, REGARDLESS OF THE LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not permit certain limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Clinitraq and our affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of the Site Services; or (c) your violation of any law or third-party right.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide reasonable advance notice. Your continued use of the Site Services after the effective date of any update constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Site Services at any time, with or without cause and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Miscellaneous

These Terms, together with the Privacy Policy and any executed MSA, constitute the entire agreement between you and Clinitraq regarding the Site Services. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
